Guardianship
Massachusetts recently adopted the Uniform Probate Code’s provisions relating to guardianship and conservatorship. The newly enacted Massachusetts statutory provisions governing guardianship and conservatorship have serious implications for those petitioning for or charged with the fiduciary role of guardian or conservator. “The new law has the lofty goal of maximizing the liberty and autonomy of people with disabilities while minimizing the stigma associated with protective proceedings.” [1]

Wrongful Death
When Barbara Johnson admitted her husband Dalton to a Massachusetts nursing home, pursuant to her authority under a health care proxy, she also signed a document agreeing, on her husband’s behalf, that any disputes between Mr. Johnson and the nursing home would be settled through arbitration (a private, informal process that often favors companies over individual claimants) rather than in the courts. After Mr. Johnson suffered serious burns, and later died from his injuries, his estate filed a negligence claim against the nursing home, seeking damages under the Commonwealth’s wrongful death statute. The nursing home then sought to move the dispute to arbitration, pursuant to the arbitration agreement signed by Mrs. Johnson.
Misdemeanors
Criminal Penalties: The Kennedy-Kassebaum Bill, effective as of January 1, 1997, originally made it a federal crime to transfer assets in order to qualify for Medicaid if the transfer resulted in “the imposition of a period of ineligibility.” The crime was classified as a misdemeanor that is punishable by a fine of up to $10,000 and/or imprisonment of up to one year. There were several ambiguities in the law and on August, 1997 said law was modified so that the threat of criminal liability is shifted from seniors to “anyone who, for a fee, counsels or assists a Medicaid applicant to make certain transfers for purposes of becoming eligible for Medicaid”. (The Balanced Budget Act of 1997, P.L. 105-33 (H.R. 2015)). Thus, only the counseling or assisting is a crime. The law has since been challenged again.

Business and Corporate Law

Limited Liability Companies
The repository for certain records of approximately 275,000 business and nonprofit corporations and approximately 60,000 limited liability entities organized or registered to do business in the Commonwealth; maintains records for limited partnerships and business trusts. Limited liability companies, limited liability partnerships, service marks, trademarks, and uniform commercial code (UCC) filings are also made with the Corporations Division.

Estate Planning
Debra Rahmin Silberstein has extensive knowledge and experience in estate tax and related issues. A proper understanding of the tax consequences of estate planning actions is vital to preserving the integrity of an estate.
Wills
“Informal proceedings” require filing Form MPC-150 (Petition for Informal Probate of a Will and Appointment of Personal Representative) in the Probate and Family Court. A certified death certificate and the original Last Will and Testament (if applicable) of the Decedent must accompany said Form MPC-150. Form MPC-801 (Bond) must also be filed with said Form MPC-150. No sureties are required if sureties are waived in the Last Will and Testament.
Trusts
A revocable living trust is a non-probate asset. The grantor of a revocable living trust retains the power to revoke and amend the terms of the trust. The grantor is typically the trust’s initial trustee or co-trustee as well as its lifetime beneficiary. Upon the grantor’s death, the living trust becomes irrevocable and either 1) continues as a trust for the benefit of successor beneficiaries; 2) is split into separate trusts; or 3) terminates and distributes trust assets to the named beneficiaries
Power of Attorney
As a result of the decision, the plaintiff’s negligence claim will be allowed to move forward in the court system, and the scope of a health care agent’s authority is significantly clarified. While a power of attorney has the power to bind the principal contractually (subject to the powers granted in the documents), the health care agent’s authority is strictly limited to decisions concerning the provision of health care. While Mr. Johnson’s estate, in this case, benefited from the agent’s lack of authority, the Court’s clear distinction between the two roles (of power of attorney and of health care agent) serves to strongly underscore the importance of having both documents in place.

I continue to serve on the Massachusetts Bar Association Probate Law Section Council. Attorney Davies and I are currently working on two (2) articles for publication, one on decanting and the other on philanthropy (and the use of donor advised funds).

Bankruptcy
Tax Law
The policies and funds transferred to the trust are taxable gifts by you to the trust’s beneficiaries. The gift tax value of an existing policy generally approximates its cash value. Gift tax can be reduced or eliminated, however, by drafting the trust so that the beneficiaries have a right for a limited period of time – generally 30 to 60 days – to withdraw property transferred to the trust. It is not intended that the beneficiaries exercise this right, but it allows gifts to the trust to qualify for the annual (approximately) $13,000-per donee exclusion from federal gift tax ($26,000, if you are married and elect to “split” the gift with your spouse). Each beneficiary’s right of withdrawal may be further limited to $5,000 in order to ensure that, under another provision of the gift tax law...
