Wrongful Death
Moki Mac River Expeditions v Drugg, 270 S.W.3d 799 (Tex. Fraud
Steve’s recent cases have involved patent infringement, trademark infringement, business fraud, breach of contract, interference with contract, and professional malpractice. Currently, Steve represents a local company in an action for breach of fiduciary duty arising out of the defendant’s conflicts of interest in patent prosecution, and also represents the same company in a patent infringement suit against a competitor. Steve represents another company in multiple patent infringement cases pending in the Eastern District of Texas. Steve recently secured new multi-million dollar license agreements for a local software company arising out of a major title insurer’s asset sale in bankruptcy court. In that case, Steve successfully settled his client’s adversary claims against the bankrupt entity in exchange for assets valued at approximately $9 million. Steve negotiated a permanent injunction after successfully representing a client in a trademark infringement case against a competitor resulting in the competitor’s name change. Steve also served as co-lead counsel in a shareholder oppression and breach of fiduciary duty trial that resulted in a multi-million dollar judgment on behalf of minority shareholder in closely-held corporation against majority shareholder block. Recently, Steve also successfully briefed and argued a case of first impression before the Texas Supreme Court on the application of certain provisions of the Texas Tort Claims Act.

Business Transactions
Forshey Prostok served as co-counsel for an Ad Hoc group of bondholders with claims exceeding $700 million in the Vitro S.A.B. bankruptcy case pending in the Northern District of Texas. There FP successfully assisted the bondholders in preventing Vitro from enforcing its Mexican concurso plan in the United States, thereby allowing important subsidiary guaranties to be preserved and enforceable domestically. On appeal, FP assisted the bondholders in obtaining a favorable decision from the Fifth Circuit Court of Appeals. The Fifth Circuit decision is expected to have a significant impact on international commercial transactions as well as on future cross-border financing and restructurings.

Steve Aldous is a trial lawyer with over 30 years of experience trying civil cases before juries, judges and arbitrators. Steve has tried cases relating to trade secret protection, shareholder disputes, securities fraud, broker-dealer disputes, breach of contract, consumer fraud, insurance code violations, employment claims, insurance coverage, pharmaceutical liability, and all types of serious personal injury. Steve has successfully briefed and argued appeals in the Texas Supreme Court, the Dallas, Austin, Eastland and Fort Worth Courts of Appeals, the United States Courts of Appeals in the Fifth and Tenth Circuits, and the Alaska Supreme Court.

Bankruptcy

Tax Law
Forshey Prostok, as lead counsel for Mirant NY, Mirant Bowline and Hudson Valley Gas, successfully confirmed a plan of reorganization for the above-named debtors with assets in excess of $200 million. These debtors were excluded from the plan of reorganization confirmed in the Mirant Corporation case in December 2005 due to outstanding tax and environmental issues. Forshey Prostok successful negotiated a settlement of all the tax issues in November 2006. The plan of reorganization provided the same treatment to creditors of the three emerging entities as to similarly-situated creditors who received confirmation under the December 2005 plan—payment satisfying the claims of all creditors.
